Terms of Service

By downloading or using the app, these terms will automatically apply to you – you should make sure therefore that you read them carefully before using the app. You're not allowed to copy or modify the app, any part of the app, or our trademarks in any way. You're not allowed to attempt to extract the source code of the app, and you also shouldn't try to translate the app into other languages or make derivative versions. The app itself, and all the trademarks, copyright, database rights and other intellectual property rights related to it, still belong to Vincubate Ventures (the provider of this app; full provider and contact details are available in the Imprint).

1. License Grant

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Pauly app for personal, non-commercial purposes in accordance with these Terms. Vincubate Ventures is committed to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you're paying for.

2. Eligibility

You must be at least 16 years old to use Pauly. By using the app, you represent that you meet this age requirement and have the legal capacity to enter into these terms.

3. User Data

Pauly shopping lists and other content are stored locally on your device. We don't have any access to this data unless you sign in with an account or share lists with other people. In those cases, the relevant list data is transmitted to our backend provider (Google Firebase) and stored securely to make it available across devices or for shared use. If you use Pauly without an account and without shared lists, all data stays local on your device; when you delete the app, all locally stored data is permanently removed. The processing of such data is carried out in accordance with our Privacy Policy. We ourselves do not sell your shopping lists or account data, nor do we share them with third parties for advertising purposes. However, the free version displays advertising delivered through third-party ad networks (e.g. Google AdMob); subject to your consent (e.g. via Apple's App Tracking Transparency or the consent dialog), these networks may process your advertising identifier and similar device identifiers to show you personalized ads. Details can be found in Section 10 (Advertising) and in our Privacy Policy.

4. Accounts

You can use Pauly without an account. For cloud backup and shared lists, you may optionally create an account – via Apple Sign-In, Google Sign-In, or with email and password. You are responsible for keeping your login credentials confidential and not sharing them with third parties, and you are responsible for all activity that takes place through your account. If you suspect unauthorized use of your account, please notify us promptly via the contact address stated in the Imprint. You can delete your account at any time – directly in the app via "Delete account". Upon deletion, your account data is removed in accordance with our Privacy Policy.

5. Voice Input

Pauly offers voice input that lets you add items to your lists by speaking. This feature uses your device's native speech recognition (Apple or Google); Pauly itself does not store any audio files. Depending on your device and language settings, recognition may transmit audio data to Apple or Google and is subject to their privacy policies; details can be found in our Privacy Policy. Speech recognition is performed by third parties and may be inaccurate – you are responsible for reviewing the recognized entries. We cannot guarantee any particular accuracy or the continuous availability of the voice feature.

6. Shared Lists

Pauly lets you share shopping lists with other people. When you share a list or invite someone, you are responsible for ensuring that you are entitled to do so and that the invited person consents to using it. You are responsible for any content you place in shared lists (including names, notes, or other personal information of third parties) and represent that you are entitled to share such data. People you invite to a shared list can view and edit the contents of that list. You agree not to share any unlawful, offensive, or rights-infringing content through shared lists. We are not responsible for content created or shared by users in shared lists, but we reserve the right to restrict or terminate access in the event of misuse or violations of these Terms.

7. Push Notifications

With your consent, we send you push notifications, for example when someone adds an item to a shared list. You can disable push notifications at any time in your device's system settings. Certain features (e.g. shared-list alerts) may then not be fully available to you.

8. In-App Purchases & Pauly Pro

The app includes in-app purchases that allow you to use the app without restrictions ('In-App Purchases'). You acknowledge and agree that you are fully responsible for managing your In-App Purchases. If you are under 18 then you must have your parents' or guardians' permission to make any In-App Purchases. All billing and transaction processes are handled by the App Store Provider from whose platform you downloaded the app and are governed by the App Store Provider's terms and conditions. If you have any payment-related issues with In-App Purchases then you need to contact the App Store Provider directly.

9. Pauly Pro Details

Pauly offers monthly and yearly subscription options as well as a one-time Lifetime purchase. Our 'Monthly' subscription is paid in monthly installments. For each month that your monthly subscription is active, you acknowledge and agree that Pauly is authorized to charge the same payment method as was used for the initial subscription fee. The monthly renewal subscription fees will continue to be billed automatically until cancelled. You must cancel your subscription before it renews each month in order to avoid billing of the next month's subscription fee. Our 'Yearly' subscription is paid for by an upfront one-off payment with automatic annual renewal. The Lifetime purchase is a one-time payment with no automatic renewal. All prices are displayed in your local currency and may vary depending on your country of residence. Prices are subject to change, but any changes will only take effect after the current subscription period ends unless otherwise agreed.

10. Advertising

The free version of Pauly may display advertising delivered through third-party ad networks (e.g. Google AdMob). Where you have consented (on iOS via Apple's App Tracking Transparency, otherwise via the consent dialog), this advertising may be personalized and may involve processing of your advertising identifier (e.g. IDFA or the Android Advertising ID) and similar device identifiers. Without your consent, only non-personalized advertising is served where technically possible. You can withdraw or adjust your consent at any time in the app settings. These providers process data in accordance with their own privacy policies; details can be found in our Privacy Policy. Upgrading to Pauly Pro removes advertising. We accept no responsibility for the content or offers of third-party products or services advertised.

11. Auto-Renewing Subscriptions

Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage or cancel your subscription by going to your Apple ID or Google Play account settings after purchase. Please note that deleting the app does not cancel your subscription. You must cancel it through your account settings to avoid further charges. Refunds for partially used subscription periods are not provided, except where required by law.

12. Subscription Cancellation

You may cancel a Monthly or Yearly subscription at any time. Cancellation is effective at the end of the applicable subscription period. Your subscription will remain active until the end of the period you have already paid for, and no further payments will be charged after cancellation. Please note that deleting the app does not automatically cancel your subscription. You must actively cancel it through your account settings on the platform where you purchased it. If you purchased a subscription through the Apple App Store, you may cancel your subscription by selecting 'Manage Subscriptions' in your Apple ID account settings. If you purchased a subscription through the Google Play Store, you may cancel automatic renewals in Account Settings > Subscriptions in the Google Play app. Cancellations must be made at least 24 hours before the end of the current subscription period to avoid being charged for the next billing cycle. Refunds for partially used subscription periods are not provided, except where required by law. If you believe you have been charged in error, please contact Apple or Google Play support directly, as all billing and refund requests are handled by the respective App Store Provider.

13. Right of Withdrawal

For paid in-app purchases (Pauly Pro), you as a consumer are generally entitled to a 14-day right of withdrawal. Because all purchases are processed exclusively through the Apple App Store or the Google Play Store, the contractual seller of each purchase is the respective App Store Provider (Apple or Google). You therefore exercise any right of withdrawal or refund directly against the respective App Store Provider in accordance with its terms.

Expiry of the right of withdrawal for digital content: Pauly Pro consists of digital content that is not supplied on a physical medium. By making a purchase, you expressly consent to the immediate commencement of performance (activation of the Pro features) and acknowledge that you thereby lose your right of withdrawal upon full performance of the contract (Section 356(5) of the German Civil Code / BGB).

14. Changing Fees and Charges

We reserve the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription plan will take effect following notice to you.

15. Liability and Connectivity

You should be aware that there are certain things that Vincubate Ventures will not take responsibility for. Certain functions of the app (such as cloud backup or shared lists) will require the app to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but Vincubate Ventures cannot take responsibility for the app not working at full functionality if you don't have access to Wi-Fi and you don't have any of your data allowance left. If you're using the app outside of an area with Wi-Fi, you should remember that your terms of the agreement with your mobile network provider will still apply. Along the same lines, Vincubate Ventures cannot always take responsibility for the way you use the app. You need to make sure that your device stays charged – if it runs out of battery and you can't turn it on to avail the Service, Vincubate Ventures cannot accept responsibility. With respect to Vincubate Ventures's responsibility for your use of the app, it's important to bear in mind that although we endeavour to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you. Vincubate Ventures accepts no liability for any loss, direct or indirect, you experience as a result of relying wholly on this functionality of the app. This limitation does not apply to damages caused by intentional misconduct or gross negligence, or where mandatory law requires otherwise.

16. Updates and Termination

At some point, we may wish to update the app. The app is currently available on iOS and Android – the requirements for both systems may change, and you'll need to download the updates if you want to keep using the app. Vincubate Ventures does not promise that it will always update the app so that it is relevant to you and/or works with the iOS or Android version that you have installed on your device. However, you promise to always accept updates to the application when offered to you. We may also wish to stop providing the app and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise: (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.

17. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Germany. If you are a consumer within the EU, you also have the right to bring proceedings in the courts of your country of residence.

18. Changes to Terms

We may update our Terms and Conditions from time to time. You are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page. These terms and conditions are effective as of June 18, 2026.
